Article 1 — Preamble and Identification of the Operator
The Djulah platform (hereinafter referred to as "the Platform" or "Djulah") is a digital real estate intermediation service operated by NGUHS VENTURES SARL, a limited liability company (Société à Responsabilité Limitée) incorporated under the laws of the Republic of Cameroon.
NGUHS VENTURES SARL acts as a technical and operational intermediary between clients searching for real estate properties and hosts who publish such properties. Djulah does not itself own, rent, lease, sell or sublet any property listed on the Platform. The Platform serves exclusively as a connection and transaction facilitation service.

Article 2 — Purpose and Scope of Application
These Terms and Conditions of Use (hereinafter "the Terms") govern access to and use of the Djulah mobile application and website (collectively "the Platform"), including all features related to property search, reservation, visit request, payment, messaging, and any other service provided by Djulah.
By creating an account, downloading the application, or using any feature of the Platform, the User acknowledges having read, understood, and unconditionally accepted these Terms in their entirety. If the User does not accept these Terms, they must immediately cease all use of the Platform.
These Terms apply to all categories of Users, including:
- Clients — individuals who search, view, book properties or request visits;
- Owners — private individuals who publish and manage their own properties;
- Real estate agents and agencies — professionals who publish and manage properties on behalf of third parties;
- Hotel establishments and similar structures — professional entities publishing short-stay accommodation offers;
- Djulah administrators — authorized representatives of NGUHS VENTURES SARL responsible for platform management, verification, and moderation.
Article 3 — Definitions

| Visit Request | A request by a Client to visit an unfurnished or commercial property, subject to payment of visit fees. |
| Visit Fees | The amount paid by a Client to schedule a visit to an unfurnished or commercial property. |
| Service Fees | Fees applied by Djulah to the Host's base price for furnished reservations, included in the final amount paid by the Client. |
| Commission | A 20% deduction by Djulah from visit fees before payout to the Host (unfurnished and commercial properties). |
| Payout | The transfer of funds due to a Host following completion of a reservation or visit. |
| FCFA | Franc CFA — legal tender in Cameroon and the CEMAC zone. |
| NGUHS VENTURES SARL | The legal entity operating the Djulah platform, registered under Cameroonian law. |
| ANTIC | Agence Nationale des Technologies de l'Information et de la Communication — national ICT regulatory authority. |
| APDCP | Autorité de Protection des Données à Caractère Personnel — national data protection authority established by Law No. 2024/017. |
Article 4 — Account Creation and Eligibility
4.1 Eligibility
Access to the Platform is reserved for persons of legal age under Cameroonian law, being at least eighteen (18) years of age, or for minors, persons acting under the supervision and responsibility of a parent or legal guardian who has accepted these Terms on their behalf.
By creating an account, the User declares that all information provided is accurate, complete, current and not fraudulent. Any provision of false, misleading or incomplete information constitutes a breach of these Terms and may result in immediate account suspension or deletion.
4.2 Registration Methods
Account creation is available through:
- Email address and password, with email verification by one-time password (OTP);
- Google account via OAuth authentication.
Each User may hold only one active account. Creating multiple accounts to circumvent Platform rules, obtain unjustified benefits, or engage in abusive conduct is prohibited and may result in all associated accounts being suspended or permanently deleted.
4.3 Account Security
The User is solely responsible for maintaining the confidentiality of their login credentials. NGUHS VENTURES SARL shall not be liable for any unauthorized access resulting from the User's failure to protect their credentials. The User must immediately notify Djulah upon becoming aware of any unauthorized use of their account by contacting support@djulah.com.
Article 5 — Property Categories and Platform Services
The Platform organizes listings into three main categories:

The Platform enables Clients to: search properties by category, location, type and price; view listing details and photos; save properties to favourites; send availability requests; pay for reservations or visit fees; track reservation statuses; exchange messages with Hosts; and access customer support.
Article 6 — Host Obligations and Listing Publication
6.1 Document Verification
Any Host wishing to publish a listing must first provide the required verification documents. Document submission is optional at initial account creation but becomes mandatory before any listing can be submitted for publication.
6.1.1 Owners
- Front and back copy of a valid National Identity Card (CNI);
- A photograph of the owner holding their National Identity Card.
6.1.2 Real Estate Agents and Agencies
- Front and back copy of a valid National Identity Card;
- A photograph of the agent holding their National Identity Card;
- Any available professional certification or registration document, where applicable.
6.1.3 Hotel Establishments and Similar Structures
- Front and back copy of a valid National Identity Card of the manager, director or authorized representative;
- Trade Register registration number;
- Any official document attesting to the lawful existence and operation of the establishment.
6.2 Administrative Validation
All listings submitted by Hosts are subject to review and validation by the Djulah administration before publication. Djulah reserves the right to accept, request modification of, or refuse any listing at its sole discretion, particularly in cases of incomplete information, suspected fraud, non-compliance with applicable rules, or where the listing does not meet the Platform's quality standards.
6.3 Host Warranties
By publishing a listing, the Host represents and warrants that:
- They have the full legal right and authority to offer, publish or manage the relevant property;
- All information provided in the listing is accurate, current, non-misleading and complete;
- The property is available for the purposes described;
- They will honour all validated reservations and visits in accordance with the conditions communicated to Clients;
- They will not direct Clients to complete transactions outside the Platform to avoid applicable fees.
Article 7 — Financial Terms and Payment Rules
7.1 General Payment Principles
All payments on the Platform are processed directly through the application via integrated payment methods, which may include Mobile Money and bank card payments through specialized payment service providers.
The total amount displayed to the Client at the time of payment constitutes the final amount to be paid, inclusive of all applicable fees.
7.2 Furnished Properties — Service Fee Model
For furnished property reservations, the Host sets a base price. Djulah applies service fees to this base price. The Client sees and pays only the final total amount displayed in the application, which already includes the applicable service fees. The Host is informed of the fee structure applicable to their listing.

7.2.1 Availability Request and Payment Process
Before payment, the Client must submit an availability request to the Host. Prior to Host acceptance, the Client may modify the stay dates (limited to shifting to a later date only) or cancel the request. Any change in duration requires cancellation and a new request.
Once the Host accepts, the Client proceeds to payment. Before confirming, the Client is presented with a summary showing: the relevant property, stay dates, total duration, and the full amount to be paid.
7.2.2 Modifications After Payment
After payment, modification is limited to shifting the stay dates only, subject to Host acceptance. The duration may not be modified after payment. Modification requests are blocked from forty-eight (48) hours before the scheduled start date of the stay.
7.2.3 Refund Rules — Furnished Properties

7.2.4 Payout to Hosts — Furnished Properties
At the end of the confirmed stay, the Host automatically receives the payout of the amount due, after deduction of Djulah's applicable service fees. If the Client does not show up once the reservation is in "Ongoing" status, the reservation may be treated as executed and the Host receives the applicable payout.
7.3 Unfurnished and Commercial Properties — Commission Model
For unfurnished and commercial listings, the Host sets the visit fee amount. Djulah does not add fees to the amount displayed to the Client. Instead, Djulah deducts a commission of twenty percent (20%) from the visit fee before disbursing the payout to the Host.

7.3.1 Modifications After Payment
Modifications are limited to shifting the date or time of the scheduled visit only, subject to Host acceptance. Modification requests are blocked from forty-eight (48) hours before the scheduled visit date.
7.3.2 Refund Rules — Unfurnished and Commercial Properties

7.3.3 Conduct of Visit and Payout
On the scheduled visit date, the status changes to "Ongoing". If the Client does not show up, Djulah grants an additional 24-hour grace period. After this period, if the Client has still not shown up, the transaction is considered completed and the Host receives the applicable payout after deduction of the 20% commission.
Article 8 — Common Rules on Modifications, Cancellations and Refunds

Article 9 — Prohibited Conduct and Platform Integrity
The following conduct is strictly prohibited and may result in account suspension, permanent deletion, reporting to competent authorities, or civil or criminal proceedings:
- Publishing false, misleading, fraudulent or non-existent listings;
- Using the Platform to facilitate illegal transactions or activities;
- Circumventing the Platform to conduct transactions directly with other Users outside the Platform, thereby avoiding applicable fees;
- Creating multiple accounts or impersonating another person or entity;
- Submitting false or forged identity documents;
- Harassing, threatening or otherwise abusing other Users;
- Using automated tools, bots or scripts to access the Platform without authorization;
- Attempting to interfere with, compromise or damage the Platform's technical infrastructure;
- Engaging in any conduct that violates applicable Cameroonian law, including Law No. 2010/012 on Cybersecurity and Cybercrime and Law No. 2011/012 on Consumer Protection.
Article 10 — Djulah's Role, Liability and Limitations
Djulah acts exclusively as a technical intermediary and connection platform between Clients and Hosts. NGUHS VENTURES SARL is not a party to the agreements concluded between Clients and Hosts and does not own, manage, control or endorse any property listed on the Platform.
NGUHS VENTURES SARL shall not be liable for:
- The accuracy, legality, safety or quality of any listing published on the Platform;
- The conduct of any Host or Client in connection with a reservation or visit;
- Any damage, loss or injury arising from a Client's use of or visit to a property;
- Interruptions, technical failures or errors affecting Platform availability, to the extent permitted by applicable law;
- Force majeure events or circumstances beyond NGUHS VENTURES SARL's reasonable control.
Djulah shall use commercially reasonable efforts to verify the identity of Hosts and validate listings before publication; however, such verification does not constitute a guarantee as to the accuracy or legality of any listing.
Article 11 — Dispute Resolution
11.1 Internal Dispute Management
In the event of a dispute arising from a reservation, visit, payment or other Platform-related matter, either party may contact Djulah customer support through the application or by email at support@djulah.com.
Djulah may access relevant messaging exchanges, transaction records and platform data to investigate the dispute, assess responsibilities and make an appropriate decision. Such access is governed by the Platform's Privacy Policy.
Djulah reserves the right to suspend, delay or withhold any payment pending the resolution of a dispute, fraud investigation or compliance review.
11.2 Applicable Law and Jurisdiction
These Terms are governed by the laws of the Republic of Cameroon. Any dispute that cannot be resolved through Djulah's internal process shall be submitted to the competent courts of Yaoundé, Cameroon, unless otherwise required by applicable mandatory law.
Article 12 — Account Suspension and Termination
Djulah reserves the right to suspend or permanently delete any User account at any time in the following circumstances:
- Breach of any provision of these Terms;
- Submission of false or forged identity documents;
- Engagement in fraudulent, abusive or illegal conduct;
- Persistent non-compliance with Platform rules after prior notice;
- A court order or request from a competent authority.
Users may delete their own account at any time through the Platform settings, subject to data retention obligations described in the Privacy Policy.
Article 13 — Amendments to the Terms
NGUHS VENTURES SARL reserves the right to modify these Terms at any time. Users will be notified of material changes by push notification, email or in-application message. Continued use of the Platform after the effective date of the revised Terms constitutes acceptance of the modifications.

Article 14 — Intellectual Property
All content on the Platform — including the Djulah name, logo, design, software, features, text and graphics — is the exclusive property of NGUHS VENTURES SARL or its licensors and is protected under applicable intellectual property laws, including Law No. 2000/011 of 19 December 2000 on Copyright and Neighbouring Rights in Cameroon.
Users are granted a limited, non-exclusive, non-transferable licence to access and use the Platform solely for its intended purpose. No User may reproduce, distribute, modify or commercially exploit any Platform content without NGUHS VENTURES SARL's prior written consent.
